Terms and Conditions

These Terms and Conditions (the “Terms”) govern your use of the Miyos mobile application and related services (the “Service”) provided by Miyos Technologies Inc. By creating an account, purchasing a subscription, or using the Service, you agree to these Terms.

If you downloaded Miyos through Apple’s App Store, the license to the iOS application is also subject to Apple’s applicable Standard End User License Agreement unless a custom EULA is expressly provided through App Store Connect. These Terms govern Miyos accounts, content, features, subscriptions, and services and do not replace mandatory rights provided by Apple or applicable law.

You must be at least 18 years old to create an account, purchase a subscription, or use Miyos. By creating an account or using the Service, you represent and confirm that you are at least 18 years old and legally capable of entering into these Terms.

Miyos is not intended for children or anyone under 18. If we learn that a person under 18 has created an account, we may suspend or delete the account and associated information, subject to applicable law.

Account-based features may require you to sign in using an authentication method offered in the App. You must provide accurate information and keep access to your sign-in credentials secure. You are responsible for activity on your account that results from your failure to safeguard those credentials.

If you suspect unauthorized access, contact support@miyos.ca.

You may initiate deletion of your Miyos account from the Profile or account settings in the App. You may also contact us for assistance. Account deletion is intended to delete the account and associated personal data that we are not legally required to retain. Deleting a Miyos account does not automatically cancel an Apple subscription; subscription management is described below.

We may suspend or terminate access where we reasonably believe an account is being used unlawfully, fraudulently, in a way that materially violates these Terms, or in a way that threatens users, third parties, or the security or availability of the Service. Where appropriate and legally required, we will provide notice and an opportunity to address the issue.

Our content

Unless otherwise stated, recipes, meal plans, batch-prep workflows, grocery lists, images, text, designs, and other Miyos content are owned by Miyos Technologies Inc. or its licensors. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use this content for your own non-commercial use.

Your content

You may be able to create recipes, upload recipe photos, submit nutrition-label images, or provide other content. You retain your rights in content you provide. You grant us a limited, non-exclusive, royalty-free license to host, store, reproduce, process, and display that content only as reasonably necessary to operate, secure, improve, and provide the Service to you.

You must have the rights needed to provide any content you upload and must not upload unlawful, infringing, or harmful material.

You may not misuse Miyos. In particular, you may not:

• impersonate another person or misrepresent your affiliation;
• probe, bypass, defeat, or interfere with security or authentication measures;
• introduce malware or harmful code;
• scrape, harvest, or extract Service data using automated means except where we expressly authorize it;
• use Miyos content commercially without permission;
• infringe intellectual-property, privacy, or other rights; or
• use the Service in violation of applicable law.

Miyos may offer auto-renewable monthly or annual subscriptions. The subscription name, duration, features, localized price, renewal price, and any introductory offer or free-trial details shown in the App Store purchase flow at the time of purchase are the terms that apply to that transaction.

If an introductory free trial is offered and you are eligible, the purchase screen will state the trial length and the price that will be charged when the trial ends. Unless canceled before renewal, the subscription automatically renews for the selected period and Apple charges the payment method associated with your Apple Account.

All iOS subscription payments are processed by Apple through In-App Purchase. Miyos does not directly receive or store your full payment-card number or card security code.

You can manage or cancel an Apple subscription through your Apple Account subscription settings. Cancellation prevents future renewals but normally does not retroactively refund the current paid period.

Refund requests for App Store purchases are handled by Apple under Apple’s applicable refund rules. Nothing in these Terms limits any refund, cancellation, chargeback, or other consumer right that applicable law gives you.

Miyos relies on service providers to operate features of the Service, including Google/Firebase for authentication, cloud infrastructure and data storage, Anthropic for AI-enabled features, Apple for App Store distribution and subscription billing, and a third-party subscription management provider that helps us verify and manage your subscription entitlements alongside Apple's In-App Purchase system. Some features may also use analytics or crash-reporting services disclosed in our Privacy Policy.

Miyos may let you open Walmart Canada’s website in an in-app webview to shop for items from a grocery list. Walmart is a third-party retailer. Miyos is not affiliated with, sponsored by, endorsed by, or an authorized representative of Walmart. Miyos does not sell Walmart products, set their prices, process Walmart orders or payments, or control Walmart’s website. Any browsing, account use, product selection, purchase, delivery, return, refund, or customer-service interaction with Walmart is between you and Walmart and is subject to Walmart’s own terms and privacy policy.

Your use of third-party services may also be subject to those providers’ terms. We remain responsible for our own obligations to you and for selecting service providers consistent with applicable privacy and consumer-protection requirements.

Miyos uses artificial intelligence for features such as recipe generation, meal-prep workflows, grocery-list generation, and nutrition-label processing. AI output can be incomplete, incorrect, or unsuitable for your circumstances. Review generated content before relying on it.

Nutrition data and methodology

Nutrition information is an estimate, not medical advice. For Miyos’s curated recipe database, estimated calories and macronutrients are calculated from ingredient quantities using established food-composition references, including Health Canada’s Canadian Nutrient File and USDA FoodData Central. Values for custom recipes, scanned labels, substitutions, or AI-assisted content may also depend on the information supplied by the user, product labels, or generated estimates.

Actual nutritional values can vary because of ingredient brands, natural food variation, substitutions, measurement differences, preparation methods, serving-size assumptions, and differences among source databases. If Miyos displays calorie, protein, or other nutrition targets, those targets are informational estimates and are not individualized medical or dietetic advice. Consult a qualified healthcare professional or registered dietitian before making dietary decisions if you have a medical condition, are pregnant, have an eating disorder or history of disordered eating, have significant food allergies, or otherwise require individualized nutrition advice.

Allergens and dietary labels require your own verification. Always review product labels and ingredient packaging, especially if you have an allergy, intolerance, medical condition, or dietary restriction. Miyos does not guarantee that a recipe or AI output is free of allergens or cross-contact.

You are responsible for safe food handling, cooking, storage, and reheating. Follow applicable food-safety guidance and use appropriate cooking temperatures.

Miyos, the Miyos name and logo, the App design, and other brand assets are owned by Miyos Technologies Inc. or its licensors. Except for the limited rights expressly granted in these Terms, no intellectual-property rights are transferred to you.

We work to provide a reliable Service, but Miyos may occasionally be unavailable, interrupted, changed, or contain errors. To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis.

Nothing in these Terms excludes any legal warranty or other protection that cannot lawfully be excluded, including mandatory consumer protections that apply in Quebec or elsewhere.

To the maximum extent permitted by law, Miyos Technologies Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages arising solely from use of or inability to use the Service.

To the maximum extent permitted by law, Miyos Technologies Inc.'s total aggregate liability to you for all claims arising out of or relating to the Service will not exceed the greater of (a) the total amount you paid to Miyos for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) fifty Canadian dollars (CAD $50.00).

Any monetary cap or exclusion applies only to the extent it is valid under the law that applies to you. For Quebec consumers, nothing in these Terms releases Miyos from the consequences of its own acts or those of its representatives, restricts a right to go before a court, or removes any other non-waivable right under the Consumer Protection Act or other applicable law.

To the extent permitted by applicable law, you agree to indemnify Miyos Technologies Inc. against third-party claims arising from your unlawful misuse of the Service or from content you upload that infringes a third party’s rights. This section does not apply where prohibited by consumer-protection law and does not require you to indemnify Miyos for Miyos’s own fault.

We may update these Terms when reasonably necessary, including to reflect changes to the Service, law, security, or business practices. We will provide notice of material changes as required by applicable law.

For Quebec consumer contracts, where a unilateral amendment is permitted by law, the notice and consumer rights required by the Quebec Consumer Protection Act apply, including the applicable advance-notice period and any right to cancel without cost when the law provides that right. We will not rely on a shorter contractual notice period to reduce those rights.

These Terms are governed by the laws applicable in the Province of Quebec and the federal laws of Canada applicable there, without depriving you of mandatory consumer rights that apply where you live.

Before starting formal proceedings, you may contact us at support@miyos.ca so we can try to resolve the issue informally. These Terms do not require Quebec consumers to submit disputes to mandatory arbitration and do not restrict any right to bring or participate in a court or class proceeding where such a restriction is prohibited by law.

For the iOS version of Miyos, you acknowledge that these Terms are between you and Miyos Technologies Inc., not Apple. Apple is not responsible for operating Miyos or providing Miyos support. Apple and its subsidiaries are third-party beneficiaries of provisions that relate to your licensed use of the iOS App to the extent provided by Apple’s applicable terms.

If these Terms conflict with mandatory Apple App Store usage rules or the Apple Standard EULA that applies to the licensed application, those mandatory Apple terms control to the extent of the conflict.

If you believe content available through Miyos infringes your copyright, you may send a notice with the information required under the Digital Millennium Copyright Act (17 U.S.C. § 512), including: (a) a physical or electronic signature of the copyright owner or an authorized representative; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material you claim is infringing and its location within the Service; (d) your contact information, including address, telephone number, and email; (e) a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

Send notices to support@miyos.ca. A user who repeatedly submits infringing content may have their account suspended or terminated.

Entire agreement. These Terms, together with our Privacy Policy and any terms specifically presented to you for a particular feature, are the entire agreement between you and Miyos Technologies Inc. regarding the Service and supersede any prior agreements on that subject.

Severability. If a court finds any part of these Terms unenforceable, the rest of these Terms remain in effect, and the unenforceable part will be interpreted to best reflect the parties' intent to the extent permitted by law.

No waiver. Our failure to enforce a provision of these Terms is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.

Force majeure. Neither party is liable for delay or failure to perform caused by events beyond that party's reasonable control.

Survival. Sections that by their nature should survive termination of these Terms survive termination, including ownership, user representations, disclaimers, limitations of liability, and dispute resolution.

Notices. We may provide notices to you through the App, by email, or by posting on our website. You may send legal notices to us at the contact address below.

These Terms are intended to describe Miyos’s service rules and consumer relationship. They do not waive rights that cannot lawfully be waived.
